Drafting note. This document consolidates Website-facing legal content needed for the AeonX corporate site and its 12-product portfolio. Product-specific commercial, security, service-level and data-processing obligations should remain in signed customer documents or product notices.
1. About these Terms and acceptance
These Website Terms and Conditions ("Terms") form an agreement between you and AeonX Digital Technology Limited, CIN L62099MH1992PLC069615, with its registered office at 12/13, Jeevan Udyog Building, 278, Dr. D. N. Road, Fort, Mumbai 400 001, Maharashtra, India ("AeonX", "we", "us" or "our"). They apply to each AeonX website, product page and public digital feature that links to them (collectively, the "Website").
By accessing or using the Website, submitting an enquiry, requesting a demonstration or using a feature expressly governed by these Terms, you agree to these Terms. If you act for an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not use the Website.
2. Scope and contract hierarchy
These Terms govern Website access, public materials, enquiries, demonstration requests and any free feature expressly linked to them. Paid, subscription, implementation, support or enterprise services are governed by the applicable proposal, order form, master agreement, product terms, data processing addendum (DPA), service-level agreement and other signed documents.
If documents conflict for a contracted service, the signed order form and master agreement prevail, followed by the DPA for personal-data processing, then applicable product-specific terms, and finally these Terms. A marketing page, roadmap or demonstration is not a contractual commitment unless a signed agreement expressly incorporates it.
3. Eligibility and authority
You must be at least 18 years old and legally capable of entering into a binding contract. You may submit another person’s or organisation’s information only where you have lawful authority to do so and have provided any notice or obtained any permission required by law.
4. Accounts, credentials and authorised users
Where the Website or a product provides an account, you must provide accurate information, keep credentials confidential, use only authorised access and notify AeonX promptly of suspected compromise. An organisation is responsible for its authorised users, role assignments, permissions, configurations and activity under its account, subject to the applicable customer agreement.
5. Limited right to use
Subject to these Terms and any applicable product agreement, AeonX grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access the Website for lawful internal business purposes. No source code, ownership, licence to a trademark or other intellectual-property right is transferred except as expressly stated in a signed agreement.
6. Acceptable use
You must not, and must not enable or assist another person to:
- violate applicable law, another person’s rights, platform rules or a binding agreement;
- send spam, unsolicited communications, deceptive promotions, unlawful content or messages prohibited by WhatsApp, Meta or another communications platform;
- upload malware, exploit vulnerabilities, disrupt availability, conduct penetration testing or attempt unauthorised access without AeonX’s prior written permission;
- bypass access, rate, consent, safety, usage, audit, geographic or payment controls;
- scrape, harvest, profile, track or identify people without lawful authority and any required notice or consent;
- reverse engineer, decompile, copy, resell or create derivative works except where a non-waivable law permits it or a signed agreement expressly allows it;
- submit passwords, payment-card credentials, government identifiers, medical information or other highly sensitive data unless the contracted feature expressly supports that data and suitable safeguards are in place;
- use outputs as the sole basis for a legal, employment, lending, healthcare, safety, securities or other high-impact decision;
- misrepresent affiliation with AeonX, impersonate another person or remove proprietary notices; or
- use the Website or products to build or improve a competing model or service where prohibited by the applicable agreement or law.
7. Customer content and personal data
You retain the rights you hold in content lawfully submitted to AeonX. You grant AeonX and its approved providers a limited right to host, copy, transmit, transform and otherwise process that content only to operate, secure, support and improve the requested service as permitted by the applicable agreement, comply with law and enforce contractual rights.
You represent that you have all necessary rights, authority, notices and permissions for the content and personal data you submit. Where AeonX processes personal data on a customer’s documented instructions, the customer ordinarily remains responsible for the lawful basis, notices, data-subject or data-principal rights and the legality of its instructions; AeonX’s duties are governed by the signed agreement and DPA.
8. WhatsApp, email and other communications
Use of a communications feature must comply with applicable law and the rules of the relevant channel. For WhatsApp, this includes the current WhatsApp Business Terms and Business Messaging Policy. A user initiating a chat or submitting an enquiry does not by itself grant unlimited permission for promotional messages.
Customers using an AeonX messaging or automation product are responsible for identifying the sender, obtaining and retaining appropriate opt-in evidence for each message category, using approved templates where required, respecting the customer-service window, actioning STOP and other opt-outs promptly, monitoring complaints and providing a reasonable path to human support. AeonX may suspend a workflow or campaign that presents legal, security, platform or quality risk.
9. AI and automated output
Some AeonX products may use artificial intelligence, machine learning or automated techniques. Outputs are probabilistic and may be incomplete, inaccurate, outdated, biased or unsuitable for a particular purpose. You are responsible for inputs, configuration, access controls, evaluation and human review before relying on an output or taking action.
Unless a signed agreement expressly states otherwise, an AeonX product does not act as a lawyer, accountant, doctor, investment adviser, research analyst or other regulated professional; does not guarantee an outcome; and must not independently execute a high-impact or regulated decision without appropriate authorised review and controls.
10. Third-party services and integrations
The Website and AeonX products may interoperate with third-party platforms, APIs, cloud services, enterprise systems, messaging networks, marketplaces or open-source components. Third-party services are governed by their own terms and privacy notices and may change, suspend or restrict access. AeonX is not responsible for a third party outside its control, but remains responsible for its own obligations under applicable law and signed agreements.
11. AeonX intellectual property and product portfolio
Subject to a legally verified product-ownership register, all rights, title and interest in the Website and the AeonX product portfolio—including software, source and object code, APIs, interfaces, designs, workflows, documentation, databases, algorithms, configurations, product names, marks, updates, improvements and derivative works—are owned by AeonX Digital Technology Limited and/or its wholly owned subsidiary AeonX Digital Solutions Private Limited (CIN U72100MH2011PTC219386) or used by the relevant AeonX entity under a valid licence.
The portfolio covered by this draft comprises Xpense, Manufex, Logystix, OrderX, SupplierX, Aeonxiq, CRM360, Setuedge, Setu move, Jarvis, Quic and DataSetu.ai. Before publication, legal counsel must confirm the exact public spelling, legal owner or licensor, trademark status, domain, app-store publisher and any inter-company licence for each product. The Website itself is not the legal owner of intellectual property.
12. Feedback
If you voluntarily provide suggestions or feedback, AeonX may use them without restriction or payment, provided this does not transfer ownership of your confidential information or personal data and does not permit disclosure contrary to law or a signed agreement.
13. Public claims, offers and third-party marks
Public product, performance, savings, deployment-time, customer, partner, security, certification, price and promotional statements must be supported by current, competent evidence and any material qualification. Results may vary by customer, configuration, data quality, integrations, operating environment and adoption. Case-study results must be identified as actual, modelled or illustrative and must have appropriate customer permission where the customer is identifiable.
Any price, discount, bundle, trial, event, availability or deployment-time offer is subject to the eligibility, inclusions, exclusions, taxes, duration, limits, renewal, cancellation and expiry terms stated with that offer. Third-party names and marks—including Meta, WhatsApp, Google, LinkedIn, SAP, AWS, BSE and SEBI—belong to their respective owners. Reference to compatibility, a listing or a commercial relationship does not imply sponsorship, endorsement, certification or regulatory approval beyond the verified scope.
14. Fees, taxes, subscriptions and checkout
Browsing the Website is generally free. If AeonX enables a paid online purchase, the checkout or order document will identify the legal seller, product or service, price, currency, applicable taxes, billing frequency, renewal, cancellation, refund conditions and payment provider before purchase. Commercial terms in a signed order govern enterprise purchases.
15. Confidential information and security reports
Do not submit confidential information through a public form unless the form expressly permits it and suitable protections are in place. A request for information or proposal does not by itself create a confidentiality obligation. Signed confidentiality and service agreements govern protected business information. Suspected security vulnerabilities should be reported to security@aeonx.digital; do not test or exploit a suspected vulnerability without prior written authorisation.
16. Availability, changes and beta features
AeonX may update, correct, suspend or discontinue public Website content or features. Product availability, roadmaps and release dates may change and are not binding unless expressly included in a signed agreement. Preview, beta, trial or evaluation features may be incomplete and may be subject to additional terms or restrictions.
17. Warranties and disclaimer
To the maximum extent permitted by law, the public Website and general materials are provided “as is” and “as available”. AeonX disclaims implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation. This clause does not exclude a warranty that cannot lawfully be excluded or an express commitment in a signed customer agreement.
18. Limitation of liability
To the maximum extent permitted by law, AeonX will not be liable under these Website Terms for indirect, incidental, special, consequential, exemplary or punitive loss, or for lost profits, revenue, goodwill, data or opportunity. AeonX’s aggregate liability arising from the public Website will not exceed the greater of INR 10,000 and the fees, if any, that you paid to AeonX for the relevant Website feature in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud or wilful misconduct where applicable. Liability for contracted services is governed by the signed agreement.
19. Indemnity
To the extent permitted by law, you will defend and indemnify AeonX and its affiliates against third-party claims arising from your unlawful content, infringement of third-party rights, lack of authority or prohibited use, subject to prompt notice, reasonable control of the defence and reasonable cooperation. A signed customer agreement prevails for a contracted service.
20. Suspension and termination
AeonX may restrict or suspend access where reasonably necessary to address a security risk, unlawful conduct, material breach, non-payment, platform restriction or risk to other users. Where practicable and not legally or operationally unsafe, AeonX will provide notice and a reasonable opportunity to remedy. On termination, access rights end; accrued rights and clauses intended by their nature to survive remain effective. Data return and deletion follow the applicable agreement and DPA.
21. Compliance with law
You must use the Website and products in compliance with applicable data-protection, consumer-protection, intellectual-property, telecommunications, advertising, anti-spam, export-control, sanctions, anti-bribery and anti-corruption laws. You are responsible for licences, authorisations and notices applicable to your business and use case.
22. Privacy, cookies and electronic communications
The AeonX Privacy Policy explains how AeonX processes personal data and uses cookies, pixels, tags and similar technologies. Service, security and legal notices may be sent electronically to the contact provided for the relevant relationship. Marketing requires an appropriate separate permission where applicable and must include a practical opt-out.
23. Investor information and securities disclaimer
Investor information on the Website is provided for statutory disclosure and general information. It is not an offer, invitation or solicitation to buy or sell securities, and is not investment advice or a research report. Nothing on the Website should be understood as approval, endorsement or recommendation by the Securities and Exchange Board of India, BSE Limited or another authority. Users should rely on disclosures filed with the recognised stock exchange and obtain independent professional advice.
AeonX, its Website, products and advertisements must not be described as “SEBI approved” or “SEBI compliant”. If any AeonX entity offers a regulated securities-market service, only its exact registered name, category, registration number and required disclosures may be published after legal and Company Secretary confirmation.
24. Governing law and dispute resolution
These Terms are governed by the laws of India. Courts at Mumbai, Maharashtra will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the public Website. This does not limit any non-waivable right you may have under applicable consumer-protection law. Disputes about a contracted service are resolved under the dispute-resolution clause of the applicable signed agreement.
25. Grievances and contact
Questions or complaints about the Website may be sent to Mr Shruhita Rane, Company Secretary & Compliance Officer and Grievance Officer, grievance@aeonx.digital, +91 22 6622 1876, 12/13, Jeevan Udyog Building, 278, Dr. D. N. Road, Fort, Mumbai 400 001, Maharashtra, India. Privacy requests should use privacy@aeonx.digital. Security reports should use security@aeonx.digital.
26. Changes and general terms
AeonX may update these Terms prospectively and will identify the updated date. Material changes will receive appropriate notice. If a provision is unenforceable, the remaining provisions continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without AeonX’s consent; AeonX may assign them as part of a reorganisation or transfer of the relevant business, subject to law. These Terms and notices incorporated by reference are the entire agreement for the public Website only.
